01 Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you or the entity you represent (“Customer”, “User”, or “you”) and StructAI Inc. (“StructAI”, “Company”, “we”, “us”, or “our”). By accessing, registering for, or using the StructAI Revenue Execution Platform located at structai.in and app.structai.in, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of an organization or enterprise, you represent and warrant that you possess full legal authority to bind such entity to these Terms.

02 Description of Platform & Services

StructAI provides an intelligent Revenue Execution Platform comprising the Marketing Hub, Sales Hub, and Revenue Hub (the “Platform”). StructAI ingests business signals from customer-connected systems, builds unified contextual revenue graphs, and executes automated revenue workflows including campaign orchestrations, outbound SDR motions, lead qualification, and bidirectional CRM synchronization.

StructAI is not a generic consumer chatbot or static dashboard; it operates as an active execution engine according to rules, constraints, and approval workflows configured by you.

03 Account Registration & Tenant Isolation

To access the Platform, you must register for an account with valid, accurate, and current information. You are solely responsible for safeguarding the credentials and API keys associated with your account and for all activities conducted under your tenant environment.

• You agree to notify StructAI immediately at security@structai.in of any unauthorized access or security breach.
• Each corporate account operates within an isolated tenant environment designed to prevent cross-tenant data contamination.
• You shall not share administrative credentials across multiple unverified individuals.

04 Acceptable Use Policy (AUP)

You agree to utilize StructAI strictly in compliance with all applicable laws and regulations. You shall not, directly or indirectly:

05 AI-Generated Outputs & Execution Accountability

The Platform utilizes generative models, neural embeddings, and probabilistic algorithms to produce copy, campaign blueprints, predictive lead scores, and automated responses (“AI Outputs”).

Customer Verification Obligation: Because generative AI systems operate probabilistically, StructAI makes no warranty regarding the complete factual accuracy or legal fitness of any specific AI-generated draft. You retain full editorial discretion and operational accountability for verifying AI Outputs before commercial publication, client distribution, or deployment to external marketing channels.

06 Customer Data & Intellectual Property

Your Data: You retain all right, title, and ownership in and to all information, customer records, CRM datasets, and media files uploaded to the Platform (“Customer Data”). You grant StructAI a limited, non-exclusive license to process Customer Data solely as necessary to provide, maintain, and optimize the Platform on your behalf.

Zero-Data Retention & No Public Model Training: StructAI guarantees that your private tenant Customer Data is never pooled, sold, or utilized to train public, cross-customer foundation models.

StructAI IP: StructAI and its licensors retain all right, title, and intellectual property in and to the Platform, including system code, user interfaces, documentation, trade secrets, logos, and trademarks.

07 Subscriptions, Billing & Refunds

StructAI services are billed on a recurring subscription basis (monthly or annual billing cycles) with compute token allocations as selected in your plan. Subscriptions automatically renew at the beginning of each billing cycle unless canceled prior to the renewal date via the dashboard.

All subscription payments and cancellations are subject to our comprehensive Refund Policy. In summary, initial monthly subscriptions carry a 7-Day Money-Back Guarantee subject to minimal compute token utilization, and cancellations take effect at the conclusion of the current prepaid billing period.

08 Third-Party Integrations

The Platform integrates with third-party software and service providers, including Meta Ads, Google Workspace, LinkedIn, Salesforce, HubSpot, Stripe, and Razorpay. Your utilization of third-party services is subject to their respective terms and privacy policies. StructAI is not responsible for any modification, disruption, rate-limiting, or suspension of third-party APIs.

09 Limitation of Liability & Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND.

To the maximum extent permitted by applicable law, StructAI disclaims all express, implied, or statutory warranties, including merchantability, fitness for a particular purpose, non-infringement, or that the service will achieve specific revenue, lead conversion, or sales quotas.

In no event shall StructAI or its officers, directors, or employees be liable for any indirect, incidental, special, punitive, or consequential damages (including lost profits or business disruption). StructAI’s total aggregate liability arising under these Terms shall not exceed the total fees paid by you to StructAI in the three (3) months preceding the incident giving rise to liability.

10 Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related thereto shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

The competent courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any legal proceeding or dispute arising out of these Terms. Before initiating formal litigation, the parties agree to seek amicable resolution through good-faith mediation for a minimum of thirty (30) days.
